Filing annual returns is a fundamental legal obligation for every company registered in Uganda. Failure to comply with this requirement can have serious consequences for both the company and its directors.
What Are Annual Returns?
Annual returns are a mandatory filing that every company must submit to the Uganda Registration Services Bureau (URSB) each year. The return confirms the company's current details including directors, shareholders, and registered office address.
Consequences of Failing to File Annual Returns
The Companies Act, 2012, imposes several penalties and consequences for companies that fail to file their annual returns:
1. Financial Penalties
Late filing of annual returns attracts significant penalties:
- Penalty fees are calculated based on the delay period
- Fees increase the longer the delay continues
- Interest may be charged on outstanding amounts
- The company may be unable to conduct certain transactions
2. Directors Personal Liability
Directors can be held personally liable for non-compliance:
- Directors may face criminal prosecution
- Personal fines may be imposed
- Directors may be disqualified from serving as directors of other companies
- Personal liability for company debts in some cases
3. Striking Off the Register
The most severe consequence is being struck off the register:
- The company loses its legal existence
- All assets vest in the state
- The company cannot conduct business
- Directors remain personally liable for debts
- Restoration requires court application
The Striking Off Process
The process of striking off a company from the register involves several steps:
- URSB issues a notice of intention to strike off
- The company has 30 days to respond
- If no response is received, the company is struck off
- Notice is published in the Uganda Gazette
- The company ceases to exist from that date
How to Restore a Struck-Off Company
A company that has been struck off can be restored through court application:
- Apply to the High Court within 2 years of striking off
- Pay all outstanding fees and penalties
- Submit all overdue returns
- The court must be satisfied that restoration is just
- Costs can be significant
Preventing Non-Compliance
To avoid the serious consequences of non-compliance, companies should:
- Mark the anniversary date on the calendar
- Prepare returns well in advance
- Maintain up-to-date company records
- Appoint a company secretary to handle filings
- Seek professional advice when needed
- Budget for filing fees and penalties
