Starting a business in Uganda is an exciting venture, but navigating the registration process can be complex. This comprehensive guide will walk you through every step of registering a company in Uganda, from name reservation to obtaining your certificate of incorporation.
Step 1: Choose and Reserve Your Company Name
The first step in registering a company in Uganda is choosing a unique name for your business. Your company name should be distinctive and not similar to any existing registered company. You can check name availability through the Uganda Registration Services Bureau (URSB) online portal.
- Conduct a name search on the URSB portal
- Reserve your preferred name for 30 days
- Pay the name reservation fee
- Consider having alternative names ready

Before proceeding with registration, you need to gather and prepare the following documents:

- Statement of compliance
- Notice of registered office address
- Details of directors and shareholders
- Copy of identification documents
Step 3: Register with URSB

- Registering for withholding tax
Step 5: Open a Bank Account
A corporate bank account is essential for business operations. You will need to present your Certificate of Incorporation, TIN, and other identification documents to open an account.
Step 6: Register with NSSF
If you plan to employ staff, you must register with the National Social Security Fund (NSSF) within one month of employing your first employee.
Step 7: Obtain Necessary Licenses and Permits
Depending on your business type, you may need additional licenses or permits from relevant regulatory bodies. This could include:
- Trading licenses from your local government
