What is a One-Person Company?

Legal Basis for One-Person Companies in Uganda
The Uganda Companies Act, 2012, formally recognizes and provides for the registration of one-person companies. Section 13 of the Act allows for the incorporation of a company with one member, provided that the company is a private company.
Requirements for Registering a One-Person Company
- The sole member must be a natural person
- The company must be registered as a private company
- The name must include "SMC" (Single Member Company) or "OPC" (One Person Company)
- The sole member is also the sole director
- The company must have a registered office address in Uganda
- The company secretary can be appointed (optional)

Registration Process for One-Person Companies
The registration process for a one-person company is similar to other private companies:
- Choose and reserve a company name with "SMC" or "OPC" suffix
- Prepare the Memorandum and Articles of Association
- Submit registration documents to URSB
- Pay the registration fees
- Obtain the Certificate of Incorporation
- Register for tax with URA
